Terms of Service
1. Agreement to these terms
These Terms of Service govern your access to and use of Tonelico, a marketplace for auctioning services and other offerings connected to X accounts and Solana wallets. By using Tonelico, you agree to these terms. If you do not agree, do not use the service.
2. Eligibility and account responsibility
You must be at least the age of majority in your jurisdiction, able to form a binding agreement, and legally permitted to use digital asset services. You are responsible for your X account, Privy account, connected wallet, private keys, device security, and all activity under your account.
3. What Tonelico does
Tonelico lets hosts create service auctions and lets bidders compete for winning slots. Unless expressly stated otherwise, Tonelico provides marketplace software and related tooling. Hosts, not Tonelico, are responsible for describing, pricing, and delivering their services.
4. Auctions, bids, and delivery
Hosts must describe their offer accurately, including scope, timing, deliverables, proof, and any decline conditions. Bidders are responsible for reviewing those details before bidding. Winning bidders are expected to cooperate with the host so the service can be delivered. Bids placed near the end of an auction may extend the timer to reduce last-second sniping.
5. Fees, payments, and escrow
Tonelico may charge a platform fee, currently shown in the product as 5% of winning bids. If on-chain escrow is enabled, Solana transactions are submitted through the connected wallet and may be irreversible once confirmed. If escrow is not enabled for a particular auction or environment, displayed balances, bids, or settlement flows may be off-chain records only and should not be treated as custody of funds.
6. Wallets and blockchain risk
You are solely responsible for verifying wallet addresses, transaction details, network selection, fees, and signatures before approving any transaction. Blockchain transactions may be public, irreversible, and subject to network failures, congestion, software bugs, validator behavior, or third-party wallet issues. Tonelico cannot recover funds sent to the wrong address or released by an approved transaction.
7. Prohibited services and conduct
You may not use Tonelico for illegal, fraudulent, deceptive, harmful, infringing, abusive, harassing, adult, regulated, or high-risk services; services that violate X or other third-party platform rules; services involving sanctions, money laundering, bribery, market manipulation, or unauthorized access; or any activity that Tonelico determines may harm users, the platform, or third parties.
8. Moderation and enforcement
Tonelico may remove auctions, reject bids, restrict accounts, pause settlement, or take other action if we believe activity violates these terms, creates risk, or may harm users or third parties. We may also comply with law enforcement, sanctions, court orders, or platform abuse reports.
9. Disputes between users
Hosts and bidders are responsible for resolving delivery issues in good faith. Tonelico may provide manual review tools or make administrative decisions for purposes of platform records or escrow release, but Tonelico is not a court, arbitrator, broker, employer, agent, or guarantor of any user.
10. Third-party services
Tonelico relies on third-party services including Privy, X, Solana wallets, RPC providers, hosting providers, database providers, and file storage providers. Their terms and availability may affect your use of Tonelico. Tonelico is not responsible for third-party outages, policy changes, account actions, or security incidents.
11. Intellectual property
Tonelico and its software, branding, and interface are owned by Tonelico or its licensors. Users retain rights in content they submit, but grant Tonelico a worldwide, non-exclusive license to host, display, reproduce, and use that content to operate, improve, and promote the service.
12. Disclaimers
Tonelico is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. Tonelico does not guarantee auction outcomes, delivery, revenue, availability, uninterrupted service, error-free operation, or compatibility with any wallet, blockchain, or third-party service.
13. Limitation of liability
To the maximum extent permitted by law, Tonelico and its operators will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages, or for loss of data, goodwill, digital assets, or business opportunities.
14. Changes to the service or terms
Tonelico may update the service or these terms from time to time. If a change is material, we will provide notice as appropriate. Continued use after changes become effective means you accept the updated terms.
